Memory differences?

Hey my laptop uses DDR2 4300... the other module uses 3200. I've been lookin at newegg and they have 4300 and 4200 at 533MHz... is there any significant differences between the two?
Oh, and just out of curiosity how much of a speedbump would I go from DDR2 3200 to DD2 4300?
